BioHiTech Global to Provide Its Revolution Series Digesters and Data Analytics Platform to Carnival Corp in a Purchase Contract worth up to $14 Million

 Chestnut Ridge, NY – January 30, 2020 – BioHiTech Global, Inc. (NASDAQ: BHTG) (“BioHiTech” or the “Company”), a technology and services company that provides cost-effective and sustainable waste management solutions, announced today that the Company will provide its Revolution Series™ Digesters and data analytics platform to certain Carnival Corporation (“Carnival”) ships, in a purchase contract in which Carnival can potentially acquire several hundred units.

 

Under the terms of the contract, BioHiTech will provide each ship designated by Carnival with multiple Revolution Series Digesters as well as ongoing cloud-based data analytics and supplies.  BioHiTech’s Revolution Series Digesters will help reduce the environmental impact of Carnival’s operations by safely disposing of food waste on-site, limiting the amount of greenhouse gases emitted from conventional processing systems. The Company’s data analytics platform will also provide real-time supply chain transparency to help in Carnival’s food waste reduction efforts.

The Sapling Digester is a larger capacity addition to BioHiTech’s line of Revolution Series™ Digesters. The Revolution Series of Digesters provide a cost-effective, regulatory-compliant food waste disposal solution that aligns well with the sustainability vision of today’s businesses. BioHiTech’s Digester technology safely disposes food waste on-site, eliminating hauling costs and reducing pest-related issues typically associated with traditional disposal methods. Each Sapling Digester is capable of diverting up to 800 pounds per day or 146 tons from landfills each year. The six Sapling units to be installed at these grocery locations, are capable of diverting from landfills as much as 1,750,000 pounds of food waste each year. The elimination of waste transportation would result in a reduction of CO2 emissions by the equivalent of removing over 120 trucks from the road.

BioHiTech Global Subsidiary Completes $8 Million Tax-Exempt Bond Financing for the Nation’s First HEBioT Renewable Resource Recovery Facility

Proceeds to be used to finalize construction and commence operations at the HEBioT facility located in Martinsburg, West Virginia

 

CHESTNUT RIDGE, NY – DECEMBER 4, 2018 – BioHiTech Global, Inc. (“BioHiTech” or the “Company”) (NASDAQ: BHTG), a technology and services company that provides cost-effective and sustainable waste management solutions, today announced that BioHiTech’s Entsorga West Virginia, LLC (“EWV”) subsidiary has completed an $8 million tax-exempt bond financing to finalize construction and commence operations at the nation’s first HEBioTtm renewable resource recovery facility located in Martinsburg, West Virginia (the “Martinsburg Facility”).

 

Ziegler, a privately held investment bank, capital markets and proprietary investments firm, acted as sole placement agent for the $8,000,000 Series 2018-A tax-exempt bonds issued on behalf of EWV.  BioHiTech recently entered into a definitive agreement to become the largest owner of EWV which the Company expects to close in the coming weeks.  Other minority partners include: Apple Valley Waste Technologies, a portfolio company of Kinderhook Industries, LLC, and Entsorga USA, a company owned by the principals of the Italian engineering firm that developed the HEBioT technology. Another Kinderhook portfolio company, Apple Valley Waste, an affiliate of Apple Valley Waste Technologies, will be providing feedstock and certain business services for the operations.

 

The Martinsburg Facility is expected to begin commissioning in December 2018 utilizing a patented high efficiency mechanical and biological treatment process (“HEBioT Process”) for the disposal and recycling of mixed municipal solid waste into an EPA approved solid recovered fuel (“SRF”).  Upon becoming fully operational, the facility will have a capacity to accept up to 120,000 tons per year of inbound municipal solid waste, converting as much as 45% of that waste into a SRF that is contracted to be sold to a multi-billion dollar cement company with operations nearby.

 

BioHiTech plans to build a series of facilities utilizing the patented HEBioT process in the US in the coming years.  A second site is currently under development in Rensselaer, NY with other potential locations in early stage planning.

BioHiTech Global Signs Definitive Agreement to Increase Its Ownership Stake in the Nation’s First HEBioT Renewable Resource Recovery Facility

CHESTNUT RIDGE, NY – NOVEMBER 29, 2018 – BioHiTech Global, Inc. (“BioHiTech” or the “Company”) (NASDAQ: BHTG), a technology and services company that provides cost-effective and sustainable waste management solutions, today announced it has entered into a definitive agreement (the “Agreement”) to acquire an additional 26.8% ownership stake in the nation’s first HEBioTtm renewable resource recovery facility located in Martinsburg, West Virginia (the “Martinsburg Facility”).

 

The acquisition will make BioHiTech the largest owner of the Martinsburg Facility and enable the Company to consolidate an estimated $7 million in annual high margin revenue generated by the operations in its financial statements beginning in 2019. The Company is acquiring the additional ownership stake in the Martinsburg Facility from Entsorga USA in exchange for the issuance of approximately $1,886,000 in BioHiTech preferred stock, convertible into BioHiTech common stock at a fixed price of $2.64 per share. Entsorga USA, a company owned by the principals of the Italian engineering firm that developed the HEBioT technology, will remain as a minority owner of the Martinsburg Facility.

 

The Martinsburg Facility is expected to begin the commissioning process in December 2018 and to ramp production throughout the first quarter of 2019.  The facility utilizes a patented high efficiency mechanical and biological treatment process (“HEBioT Process”) for the disposal and recycling of mixed municipal solid waste (MSW) into an EPA approved solid recovered fuel (“SRF”).  The HEBioT Process is expected to divert from landfills as much as 80% of the waste that enters the facility.  The Martinsburg facility has secured ten year agreements for both the supply of MSW from a regional hauler and the off-take of the SRF production by a multi-billion dollar cement company with operations nearby.

 

The Martinsburg facility is the first of a series of facilities utilizing the patented HEBioT process that BioHiTech plans to build in the US in the coming years.  The Company controls the exclusive development rights to the HEBioT technology in 12 Northeastern states and the District of Columbia.  A second site is currently under development in Rensselaer, NY with other potential locations in early stage planning.

University of Delaware Completes Life Cycle Assessment of BioHiTech Digesters for Food Waste Management

Study demonstrates how BioHiTech’s aerobic digester technology can significantly reduce the global warming impact of food waste disposal

(“BioHiTech” or the “Company”) (NASDAQ: BHTG), a technology and services company that provides cost-effective and sustainable waste management solutions, today announced the results of an independent Life Cycle Assessment (LCA) of its aerobic digester solution for food waste conducted by the Department of Civil and Environmental Engineering at the University of Delaware.

 

The LCA was conducted in accordance with the ISO 14040 standards to enable a gate-to-grave comparative assessment of four possible food waste management systems, including:

 

  1. BioHiTech’s food waste digesters, where aerobically digested waste is transported through the sewer line to a waste water treatment plant for further processing

The results of the LCA clearly demonstrate that BioHiTech’s aerobic digester technology is an environmentally friendly alternative to the other means studied in the assessment. Specifically, “the disposal of food waste using BioHiTech’s aerobic digestion system followed by the release of the effluent to the sewer is an environmentally favorable pathway.”

 

BioHiTech’s aerobic digestion solution utilizing sewer line transportation produced the most favorable global warming potential (GWP) impact as measured in CO2 equivalents per 1,000 kilograms of food waste. By comparison, trucking aerobically processed waste to an anaerobic digester increased CO2 equivalents by 67% while trucking food waste to a compost facility resulted in double the amount of CO2 equivalents. As expected, trucking unprocessed food waste directly to landfills was the least environmentally friendly alternative, yielding 900% more CO2 equivalents than BioHiTech’s solution.
